Tracy Brooks Hunn is an experienced corporate attorney with a diverse background spanning energy, infrastructure, commercial contracts, and regulatory compliance. With over two decades of in-house and law firm experience, she has advised companies in the oil & gas, midstream, renewables, technology, and industrial sectors on complex transactional matters.
Tracy’s practice focuses on drafting, reviewing, and negotiating commercial agreements, including master service agreements (MSAs), EPC contracts, procurement agreements, SaaS and licensing arrangements, and regulatory compliance frameworks. She has extensive experience working with private equity-backed ventures, midstream and upstream energy companies, and multinational corporations, guiding clients through risk management, contract structuring, and strategic business transactions.
Before joining Werner Ayers & McDonald LLP, Tracy held senior legal roles at energy and industrial companies, including Strike Operating Company, Rockwater Energy Solutions, and others. She has also served as General Counsel and Commercial Counsel for private and public companies, where she was instrumental in structuring and executing high-value business deals while managing risk and compliance across multiple jurisdictions.

- Led commercial contracting and regulatory compliance for energy infrastructure and construction projects, including water sourcing, pipeline development, and industrial facilities.
- Negotiated and structured procurement agreements, master service agreements (MSAs), and technology licensing arrangements for oilfield service providers, drilling contractors, and midstream operators.
- Provided legal and strategic guidance on regulatory issues involving OSHA, USDOT, FMCSA, EPA, and state environmental agencies.
